Reporter:Mr. Tang, we are very grateful for your acceptance of our interview. We heard that you and your team recently handled a very difficult case involving internal equity and capital issues within a family business. Could you tell us about this case?

Tang Yunhong:Indeed, this case left a deep impression on me. Our client, Ms. Zhang, is a very capable entrepreneur who has been striving in Shenzhen for many years and has grown her clothing business significantly. However, as the saying goes, "Every family has its own hard-to-read book," and the issue she encountered is that, in her early years, for the convenience of the company's structure and out of trust in her mother, she registered half of the company's shares in her mother, Ms. Wang. This is what we commonly refer to as "share holding in trust." But at that time, there was no formal holding-in-trust agreement signed between mother and daughter, which laid the groundwork for the subsequent disputes.
Reporter:Without an agreement, what problems arose later?
Tang Yunhong:The issue is more complex than we imagined. Ms. Zhang's mother has been in charge of the company's finances, and over the course of more than a decade, she quietly transferred the company's profits into her personal account. What's more difficult is that she used this money, in her own name, her daughter's brother's name, and the names of other relatives, to purchase a significant number of properties and factories in various places. After Ms. Zhang got married, the conflict erupted completely, and her mother even began to sell some of the assets she was holding in trust without permission, wanting to leave the money and businesses to her son.
Reporter:On one side were her beloved mother and brother, and on the other was the enterprise she had founded with her own hands. At that time, Madam Zhang must have been extremely distressed. When taking on such a case, what do you think the biggest challenge lies in?
Tang Yunhong:The difficulties are multifaceted. First,"Qualitative" is the first major challenge.Without a written agreement in black and white, how can we prove in court that the equity under the mother's name and the properties registered under the names of relatives are essentially the company's assets, or belong to Ms. Zhang? This requires a very solid chain of evidence. Secondly,It's a huge project to settle accounts.Over a decade of financial transactions, like a tangled mess, we need to untangle them one by one, and establish the connection between the company's accounts and personal accounts. Finally, what I care about the most is...How to grasp the "degree" of handlingThe case is rooted in blood ties and family affection. If our strategy is not appropriate, although we help Madam Zhang regain her property, the family relationship may be completely broken, which may not be what she wants to see. Moreover, her mother's actions have actually touched the edge of criminal law.
Reporter:It sounds like a heart-stopping situation. How did you and your team break through the deadlock?
Tang Yunhong:Our strategy is "talk while fighting, and use fighting to promote talks." We first helped Madam Zhang thoroughly investigate the company's vast asset ledger, clarifying which properties were occupied. This process was very tedious, but our team of lawyers immersed themselves in piles of financial documents and even traveled to various places to verify the actual conditions of the properties. Our hard work paid off, as we not only found the key bank statements proving that the purchase money was withdrawn from the company's account, but also fortunately found the original purchase contracts and property certificates for all the properties, which provided heavy-weight leverage for our negotiations.
Reporter:With evidence, does that make the negotiation smooth?
Tang Yunhong:We adopt the approach of "taking it step by step and tackling each issue individually." For example, when communicating with Ms. Zhang's uncle and her cousin, we directly placed the evidence on the table and spoke candidly to them: "These houses were paid for by the company, and the legal ownership is very clear. If we go to court, not only will the houses need to be returned, but the rental income generated over these years must also be repaid." At the same time, Ms. Zhang also took into account the family ties and was willing to give them an out. In the end, both the uncle and the cousin agreed to cooperate and transferred the properties under their names back to the company. Of course, for the parts that could not be settled, we also decisively initiated legal proceedings and applied for the freezing of related assets to ensure that everything was secure.
Reporter:What was the final outcome of this case?
Tang Yunhong:The results were better than expected. We not only helped Madam Zhang recover all the misappropriated substantial assets, but also legally ensured that the shares held in trust were "legitimately" returned to her name. More importantly, through this process, we helped the company establish a more standardized and transparent financial and management system, which is equivalent to putting a "safety lock" on the company's future.
Reporter:Starting from this case, what suggestions do you have for similar family businesses?
Tang Yunhong:My suggestion is very practical:"Be a scoundrel first, then a gentleman."Involving equity holding, even with the closest of people, it is essential to sign a standardized holding agreement. Second, the company's money and the family's money must be clearly separated; they should not be mixed together. Third, the company's financial system must be sound and supervised. If problems have already been identified, do not drag your feet; find a composite legal team that understands both corporate law and marriage and family law as soon as possible to help you sort things out. Often, a comprehensive plan can resolve the crisis and avoid the worst outcomes.
